1. About these terms

These terms govern your use of the HelmWise AI Governance website and the digital products (templates, training materials, workflow guidance and related files) you obtain from us.

2. Who we are

HelmWise AI Governance is a Swiss sole proprietorship operated by Matthew van der Walt (see Imprint).

3. Payments & merchant of record

Purchases are processed by Link, LLC / Stripe as merchant of record. Your purchase contract for payment is with the merchant of record, and their consumer terms and any statutory consumer rights apply to that transaction. These Terms of Use govern how you may use the materials once obtained.

4. Licence & permitted use

On purchase, you receive a non-exclusive, non-transferable licence to use and adapt the materials for your own organisation’s internal governance purposes. Unless you hold a HelmWise Partner Licence, you may not resell, redistribute, sublicense, or publish the materials, in whole or substantial part, to third parties.

5. Intellectual property

All HelmWise content, templates and branding remain our intellectual property, save for the limited licence granted above.

6. Not legal advice; no certification

HelmWise provides templates, training materials and workflow guidance. This material is not legal advice, regulatory certification or a guarantee of compliance. It does not certify compliance with the EU AI Act or any other law. You are responsible for reviewing and adapting the materials with appropriate legal, HR, compliance or data-protection advisers before relying on them for regulated or high-risk use cases. Regional editions state which regime they address and when they were last reviewed; one edition does not satisfy another jurisdiction’s rules.

7. No warranty; limitation of liability

The materials are provided “as is”, without warranties of any kind to the extent permitted by law. To the fullest extent permitted by Swiss law, we exclude liability for indirect or consequential loss arising from use of the materials; nothing in these terms limits liability that cannot be limited by law.

8. Acceptable use

Do not upload confidential client data through public forms, and do not use the site or materials unlawfully.

9. Third-party tools

The site relies on third-party providers (see Privacy Policy); their terms may also apply.

10. Changes

We may update the products and these terms; the current version is always on this page.

11. Governing law & jurisdiction

These terms are governed by Swiss law. The place of jurisdiction is Urdorf, Canton of Zürich, Switzerland, subject to any mandatory consumer-protection rules of your country of residence.
